Introduction

Welcome to Love Your Lawyer Shop, operated by Meyer Law, Ltd. (“Meyer Law,” “we,” “our,” or “us”). These Terms of Service + Legal Engagement Terms (“Terms”) govern your purchase and use of legal consultations, fixed-fee legal services, General Counsel services, digital and educational products, and other products or services offered through this website (collectively, the “Services”).

By checking the box agreeing to these Terms, completing a purchase, or accessing the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms and, where applicable, are entering into a legally binding attorney-client engagement with Meyer Law.

If you are accepting these Terms on behalf of a company or other organization, “you” and “your” refer to that company or organization, and you represent that you have authority to accept these Terms on its behalf. If you are purchasing Services in your individual capacity, “you” and “your” refer to you individually.

1. Services

Legal Consultations. One-on-one consultations with a Meyer Law attorney regarding your business and legal needs. Where stated in the applicable product description, a consultation may include a personalized Legal Roadmap identifying legal issues, priorities, and potential next steps.

Fixed-Fee Legal Services. Legal services provided for a specified fixed fee and limited to the scope described in the applicable product or package description. These may include corporate, technology and commercial contracts, hiring and employment, trademarks and copyrights, mergers and acquisitions, fundraising and investment, privacy and data protection, entertainment, and other business legal services.

General Counsel Services. Ongoing legal support offered on a recurring or other agreed fee arrangement and subject to the scope, hours, limitations, pricing, and other terms stated in the applicable package description.

Digital + Educational Products. Meyer Law may offer templates, guides, courses, recordings, educational materials, or other informational products that do not constitute individualized legal services unless expressly stated otherwise.

The description of the Service displayed at the time of purchase, including the scope, deliverables, limitations, and pricing, is incorporated into these Terms.

2. Attorney-Client Relationship + Identity of Client

When you purchase a legal consultation, fixed-fee legal service, General Counsel service, or another Service expressly identified as legal representation, your acceptance of these Terms and Meyer Law’s acceptance of the engagement establish an attorney-client relationship between Meyer Law and the client identified in connection with the purchase, subject to Meyer Law’s conflicts review and professional obligations.

If Services are purchased on behalf of a company or other organization, Meyer Law represents that company or organization. Meyer Law does not represent its founders, shareholders, members, managers, officers, directors, employees, affiliates, investors, partners, or other constituents unless Meyer Law expressly agrees otherwise in writing.

Purchasing Services on behalf of another individual or entity does not automatically establish an attorney-client relationship between Meyer Law and the purchaser personally.

Meyer Law does not and cannot make any representation, warranty, or guarantee regarding the outcome of any legal matter.

3. Scope of Representation

Meyer Law’s representation is limited to the legal services expressly described in the Service purchased and any additional scope Meyer Law agrees to undertake in writing or by email.

Purchasing one Service does not engage Meyer Law to advise you regarding unrelated legal matters; identify or monitor every legal issue affecting you or your business; update previously completed work because of subsequent changes in law or circumstances; undertake responsibility for legal or business matters outside the agreed scope; or handle any deadline, filing, proceeding, transaction, or other matter Meyer Law has not expressly agreed to handle.

If additional work is identified during the engagement, Meyer Law may provide a separate estimate, fixed-fee option, hourly engagement, General Counsel option, or other proposed scope.

Consultations. The attorney-client relationship created by purchasing a consultation is limited to the consultation and any Legal Roadmap or other deliverable expressly included in the purchased Service. Purchasing a consultation does not obligate Meyer Law to undertake additional legal work after the consultation unless Meyer Law agrees to do so.

4. Conflicts + Other Clients

Meyer Law represents many companies and individuals. It is possible that current or future Meyer Law clients may have transactions, relationships, or disputes involving you.

Subject to applicable professional-responsibility rules, you acknowledge and agree that Meyer Law may continue to represent or may undertake in the future to represent existing or new clients in matters that are not substantially related to Meyer Law’s representation of you, even where the interests of those clients may be adverse to you in such unrelated matters.

This consent does not permit Meyer Law to use or disclose your privileged or confidential information or undertake a representation where applicable professional-responsibility rules prohibit the representation.

All legal Services are subject to Meyer Law’s conflicts review and professional obligations. If Meyer Law determines that it cannot undertake or continue a representation because of a conflict or other professional-responsibility issue, Meyer Law may decline or terminate the engagement, and any unearned fees will be handled as required by applicable law and professional-responsibility rules.

5. Client Responsibilities

You agree to cooperate fully with Meyer Law and provide complete, accurate, and timely information reasonably necessary for us to perform the Services. Your responsibilities include providing requested information and documents in a timely manner; cooperating with scheduling and related matters; responding to emails, calls, requests for approvals, and other communications in a timely manner; reviewing documents and deliverables when requested; making necessary business decisions; informing Meyer Law of material changes that may affect the matter; and keeping your contact and payment information current.

Meyer Law may rely upon information you provide without independently verifying its accuracy unless otherwise agreed. Delays or failures in providing information, documents, decisions, approvals, or cooperation may affect Meyer Law’s ability to perform the Services or meet anticipated timelines.

6. Timing + Deadlines

Any timing or completion estimate provided by Meyer Law or displayed in connection with a Service is an estimate unless Meyer Law expressly agrees in writing to a specific deadline.

Purchasing a Service does not mean Meyer Law has accepted responsibility for an existing legal deadline, filing deadline, closing date, court date, regulatory deadline, response date, or other time-sensitive obligation.

If your matter involves a deadline or urgent timing requirement, you must disclose it promptly. You should not rely on Meyer Law to handle a material deadline unless Meyer Law expressly confirms that it has accepted responsibility for it.

7. Fees + Payment

Fees for Services are displayed at the time of purchase or otherwise agreed between you and Meyer Law.

By providing payment information, you authorize Meyer Law and its payment processors to charge the applicable fees and any taxes or other amounts disclosed in connection with the purchase.

Fixed-fee Services cover only the scope described in the applicable product or package. Work outside that scope may require an additional fixed fee, hourly engagement, General Counsel arrangement, or other fee agreement.

Where Meyer Law provides an estimate for additional legal work, the estimate is based on the information available at the time and is not a guarantee of the ultimate amount of fees unless expressly identified as a fixed fee.

Meyer Law may use attorneys, paralegals, legal assistants, or other professionals as appropriate to perform Services efficiently and effectively.

8. Filing Fees + Expenses

Unless expressly included in the description of a purchased Service, government filing fees, trademark filing fees, registered-agent fees, courier charges, travel expenses, third-party vendor fees, and other costs are not included in the purchase price.

Where a filing or submission requires payment of a government, regulatory, or third-party fee, you must pay the applicable fee in advance. Meyer Law is not obligated to make a filing or submission until the required filing fees and related amounts have been received.

9. General Counsel + Recurring Legal Services

If you purchase a recurring General Counsel or other recurring legal Service, you authorize Meyer Law to charge the payment method provided at the frequency disclosed in connection with the purchase until the Service is canceled or otherwise terminated.

The applicable package description identifies the scope of legal support, included hours, limitations, pricing, and other material terms. Unless expressly stated otherwise, unused time does not roll over from one billing period to another.

Work beyond the amount included in the applicable package may be billed at the applicable rate or require approval of additional fees, as described in the package or otherwise agreed with Meyer Law.

You authorize Meyer Law to automatically charge the payment method on file for recurring fees and other amounts you have authorized. You are responsible for maintaining valid payment information.

If amounts due remain unpaid, Meyer Law may suspend Services and may withdraw from representation to the extent permitted by applicable professional-responsibility rules.

10. Cancellations + Refunds

Digital + Educational Products. Purchases of downloadable, digital, and educational products are generally final and non-refundable once access has been provided, except where required by law.

Legal Services. Fees paid for legal Services are subject to applicable law and professional-responsibility requirements.

If you cancel an engagement after Meyer Law has begun performing Services, Meyer Law is entitled to payment for legal services performed and reimbursement for costs incurred through the effective date of termination.

If Meyer Law cannot undertake or continue a representation because of a conflict of interest, professional-responsibility requirement, or other reason requiring Meyer Law to decline or withdraw, any unearned portion of fees paid will be refunded or otherwise handled as required by applicable law and professional-responsibility rules.

Nothing in these Terms permits Meyer Law to retain a fee that applicable law or professional-responsibility rules require to be refunded.

11. Communications + Electronic Transactions

You consent to communicating with Meyer Law electronically, including through email, electronic forms, electronic signatures, online platforms, videoconferencing, and other digital tools.

You agree that checking a box, clicking a button indicating acceptance, completing an online purchase, or otherwise electronically accepting these Terms constitutes your electronic signature and has the same legal effect as a handwritten signature.

12. Intellectual Property + Client Deliverables

Meyer Law retains ownership of its pre-existing templates, forms, methodologies, educational materials, website content, processes, know-how, and other proprietary materials.

Subject to payment of applicable fees, you may use client-specific documents and deliverables prepared for you for your own personal or business purposes.

You may not sell, publish, distribute, sublicense, reproduce for commercial distribution, or commercially exploit Meyer Law’s templates, educational materials, or proprietary resources without Meyer Law’s written permission.

13. Educational Materials + Free Legal Roadmaps

Templates, guides, courses, recordings, newsletters, blog posts, free Legal Roadmaps, and other general educational or informational resources are provided for general informational purposes.

Unless expressly provided as part of an attorney-client engagement, such resources do not constitute individualized legal advice and do not create an attorney-client relationship.

A free Legal Roadmap is designed to help identify legal areas that a business may want to consider based on information provided by the requester. It is not a substitute for individualized legal advice regarding a particular legal issue or circumstance.

14. No Guarantee of Outcome

Legal and business outcomes depend on numerous circumstances outside Meyer Law’s control. Meyer Law does not guarantee any particular legal, regulatory, financial, fundraising, transactional, employment, intellectual-property, litigation, or business outcome.

Any discussion of potential outcomes, timing, strategy, costs, or results represents Meyer Law’s professional assessment based on information available at the time and is not a guarantee.

15. Client Files + Document Retention

Meyer Law may maintain client files and records electronically. You are responsible for retaining copies of final documents and other materials provided to you.

Upon written request and subject to applicable law and professional-responsibility requirements, Meyer Law will provide client materials to which you are entitled. Meyer Law may retain, archive, or destroy files in accordance with its document-retention policies and applicable professional obligations.

16. Termination

You may terminate Meyer Law’s representation at any time by providing written notice.

Meyer Law may decline or withdraw from representation when permitted or required by applicable professional-responsibility rules, including because of a conflict of interest, nonpayment, failure to cooperate, breakdown in the attorney-client relationship, or other circumstances that make continued representation inappropriate or impracticable.

Upon termination, you remain responsible for fees earned and expenses incurred through the effective date of termination. Any unearned fees will be handled in accordance with applicable law and professional-responsibility requirements.

Termination of one Matter or Service does not necessarily terminate a separate engagement between you and Meyer Law.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND PROFESSIONAL-RESPONSIBILITY RULES, MEYER LAW WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICES.

WITH RESPECT TO SERVICES OR CLAIMS FOR WHICH A LIMITATION OF LIABILITY IS PERMITTED, MEYER LAW’S TOTAL CUMULATIVE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THE APPLICABLE SERVICES WILL NOT EXCEED THE FEES PAID TO MEYER LAW FOR THE SERVICES GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS IS INTENDED TO PROSPECTIVELY LIMIT MEYER LAW’S LIABILITY FOR PROFESSIONAL MALPRACTICE OR ANY OTHER LIABILITY TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW OR PROFESSIONAL-RESPONSIBILITY RULES.

18. Independent Review of These Terms

Meyer Law does not represent you in connection with your decision whether to accept these Terms because Meyer Law’s interests and yours may differ with respect to the terms governing the engagement.

You may consult independent legal counsel of your choice regarding these Terms before accepting them.

19. Third-Party Services

Meyer Law may use or recommend third-party platforms, filing services, payment processors, technology providers, consultants, or other vendors in connection with the Services.

Meyer Law is not responsible for the availability, security, performance, terms, or independent actions of third-party providers except to the extent responsibility cannot lawfully be disclaimed.

20. Website + Account Use

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and activity conducted through your account.

You may not misuse the website, attempt unauthorized access, interfere with website operation, copy or scrape protected content, or use the website or Services for unlawful purposes.

21. Governing Law + Venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles, except to the extent another jurisdiction’s law or applicable professional-responsibility rules necessarily govern a particular legal representation.

Subject to any jurisdictional or professional-responsibility requirements that cannot lawfully be waived, any action arising out of or relating to these Terms will be brought in the state or federal courts located in Cook County, Illinois, and the parties consent to jurisdiction and venue there.

22. No Interpretation Against Drafter

To the extent permitted by applicable law, these Terms will not be construed against either party solely because that party or its counsel drafted or proposed a provision.

23. Entire Agreement + Order of Priority

These Terms, the applicable product or package description, any applicable estimate or written scope agreed with Meyer Law, and Meyer Law’s Privacy Policy constitute the agreement applicable to Services purchased through this website and supersede prior discussions or understandings concerning those Services.

If Meyer Law and the client subsequently execute a separate engagement letter or other written agreement concerning the same legal Services, the later agreement will control to the extent of any conflict with these Terms.

24. Changes to These Terms

Meyer Law may update these Terms from time to time. The Terms in effect when you purchase a legal Service will govern that engagement unless Meyer Law and the client subsequently agree otherwise in writing or a change is required by applicable law or professional-responsibility obligations.

Changes will be posted on this page with an updated effective date.

Return and Refund Policy

Our refund policy depends on the type of Service purchased.

Digital + Educational Products. Purchases of downloadable, digital, or educational products are generally final and non-refundable once access has been provided, except where required by law.

Legal Services. Fees paid for legal services are subject to applicable law and professional-responsibility requirements. If you cancel legal Services after work has begun, Meyer Law may retain fees earned for services performed and reimbursement for costs incurred.

If Meyer Law cannot undertake or continue a representation because of a conflict of interest, professional-responsibility requirement, or other reason requiring Meyer Law to decline or withdraw from the representation, any unearned portion of fees paid will be refunded or otherwise handled as required by applicable law and professional-responsibility rules.

Nothing in this policy permits Meyer Law to retain a fee that applicable law or professional-responsibility rules require to be refunded.
