Frequently Asked Questions
What corporate documents do you review?
Depending on your company, we may review formation documents, bylaws or operating agreements, ownership records, cap tables, board and stockholder/member approvals, founder documentation, equity issuances, prior financing documents and other material corporate records.
How much material will you review?
The package includes up to 3 hours of attorney review. The amount of material we can review depends on the volume and complexity of your company's corporate history. We'll focus on the records most important to assessing your corporate foundation.
Will Meyer Law fix the issues you identify?
No. This package focuses on reviewing your existing corporate records, identifying potential issues and discussing our recommendations. If documents need to be prepared, amended, corrected or otherwise addressed, Meyer Law can separately scope that work.
I formed my company using an online formation service. Is that a problem?
Not necessarily. We'll review the documents you have and help identify whether there are gaps, inconsistencies or areas that may warrant attention based on your company's current ownership and governance.
Does this include reviewing my cap table?
We can review your cap table and supporting ownership records within the package scope for apparent gaps or inconsistencies. A full cap table reconstruction or extensive reconciliation of historical equity issuances is not included.
Is this the same as Ready to Raise™ package?
No. The Corporate Risk Assessment focuses specifically on your company's corporate and governance foundation.
Ready to Raise™ package is a broader pre-fundraising legal review that may include corporate records, material contracts, intellectual property and other areas relevant to investor diligence.
What if my corporate records require more than three hours to review?
We'll focus on the most important records within the included review time. If additional review would be valuable, we'll let you know before performing work outside the package scope.
How long does it take?
Most Corporate Risk Assessments are completed within 1–3 weeks after the initial consultation and receipt of the documents and information we need.
